Article 1) NAME and RESIDENCE OF THE FOUNDATION
The name of the foundation is FIRE PROTECTION AND EDUCATION FOUNDATION OF TURKEY. The short name of the foundation will be TÜYAK. In this official deed, only the foundation will be called.
Article 2) HEADQUARTERS OF THE FOUNDATION
The head office of the foundation is in the district of Şişli, in the province of Istanbul, and its address is Perpa Trade Center, Block B, Floor 9 No.1376 Okmeydanı Şişli 34381 Istanbul. Within the framework of the relevant legislation, branches and representative offices can be opened in the country, provided that the decision of the board of directors of the foundation and the permission of the competent authorities are obtained.
Article 3) OBJECTIVES OF THE FOUNDATION
The main objectives of the foundation are:
a) To carry out researches in the field of science and technology in order to ensure that the society is educated on fire safety, to have them done, and to support what is done in this way.
b) To broadcast, excluding visual broadcasts, for the personnel of public and private institutions to be trained on fire protection and fire extinguishing, to prepare educational films, to provide or support the opening of training facilities and firefighting schools where the public will receive fire training. Sending employees abroad to increase their knowledge and experience on fire prevention.
c) To ensure or assist the development of fire prevention systems and devices by establishing relations with public institutions and scientific organizations.
d) To assist as much as possible in ensuring the fire safety of palaces, libraries, national archives and historical foundations.
e) To provide financial support to the firefighters injured in the fire and the families of the deceased firefighters, and to provide scholarships to their children. To provide assistance to the children of foundation members for educational purposes. To help firefighters who will learn foreign languages.
f) To conduct research on the fire department and to assist in the supply of firefighting needs, to assist firefighters.
g) To establish, assist in the establishment, operate and operate laboratories, test stations and similar facilities for fire prevention and fire protection
h) To work to popularize volunteer firefighting throughout the country, to support volunteer firefighting and to help meet their needs.
i) To assist in the establishment of all kinds of social purpose cooperatives that firefighters and retirees can benefit from, to establish or to support the ones that have been established.
Article 4) ACTIVITIES OF THE FOUNDATION
In order to realize the objectives of the Foundation, it carries out the following activities.
a) It conducts research on fire safety and fire protection for the benefit of the society, makes it work, supports industrial organizations, system builders and firefighters who are successful in these subjects, and gives incentive awards.
b) Announces the research and study results by using various publication opportunities, and announces them to the relevant institutions. It organizes national and international conferences, symposiums, seminars and open sessions.
c) Provides non-refundable scholarships, books, places of residence, recreation, cultural and sports facilities and vehicles, health aids, teaching and research materials to fire prevention and fire safety workers and firefighters, within the bounds of possibility.
d) It cooperates with Turkish and foreign fire brigades, professional organizations, public or private organizations in accordance with its objectives and provides the necessary services.
e) Prepares, publishes and distributes application standards and regulations, handbooks and application guides in parallel with national and international standards, regulations and non-implementation principles in the fields of fire protection and fire training. It carries out the necessary studies for the implementation of the standards valid in the country in the field of fire protection and supports them.
f) Establishes, assists in the establishment and operates facilities suitable for its purposes.
Article 5) FOUNDATION’S ASSETS
The assets of the foundation at the time of establishment is 50,000,000 TL allocated by the founders.
Income to be provided as a result of various income generating activities and through donations will also contribute to this asset.

Article 6) INCOME OF THE FOUNDATION
a) All kinds of internal and external, in kind and cash, to be made by official and private persons and organizations,
movable and immovable donations,
b) Profits of the facilities and commercial enterprises established by the foundation for the purpose of the foundation, all kinds of income to be obtained from its existence and activities,
c) Income obtained from the rental and sale of the movable and immovable properties of the Foundation and from the interest of its deposits,
d) Various publication revenues, balls, concerts, performances, bazaars to be organized for the benefit of the Foundation
and similar meetings, lottery and all kinds of social organization revenues.
Article 7) CONSUMPTION OF THE FOUNDATION’S INCOME
20% of the foundation’s annual revenues are allocated and spent on management and continuation expenses, and investments that will increase the reserve and foundation assets, and 80% is allocated and spent in line with the foundation’s purpose and service issues. If the revenues of the Foundation are not covered by the annual expenses, the Board of Directors is authorized to make expenditures from the assets of the Foundation, provided that it is obtained from the revenues of the following years. However, no expenditure can be made from the corporate assets committed by the founding members. The Foundation’s personnel, movable, real estate, etc. needs are met from the Foundation’s revenues.
Article 8) ORGANS OF THE FOUNDATION
The organs of the foundation are shown below.
a) Board of Trustees

Article 9) BOARD OF TRUSTEES
9.1. The board of trustees of the foundation consists of people whose names are written in the attached list.
Persons proposed by the board of directors and accepted by the board of trustees are elected for the membership of the board of trustees, which is subsequently vacated.
9.2. DUTIES AND AUTHORITIES OF THE BOARD OF TRUSTEES
The board of trustees is the highest decision-making body of the foundation. The powers of the board of trustees are shown below.
a) Electing the Board of Directors
b) Electing the Supervisory Board
c) To discuss and examine the activity report prepared by the board of directors of the foundation and the reports of the supervisory board, and to decide on the release of the board of directors,
d) To accept the foundation internal legislation drafts to be prepared by the Board of Directors as they are or by changing them.
e) To accept the annual budget drafts to be prepared by the board of directors as they are or by changing them.
f) To determine whether attendance fee will be given to the members of the board of directors and the supervisory board, and if so, the amount,
g) Making additions and changes to the foundation deed when necessary
h) To determine the general policies regarding the activities of the Foundation
9.3. MEETING TIME AND DECISION QUORUM OF THE BOARD OF TRUSTEES
a) In February to discuss the approval of the balance sheet and work reports,

The board of trustees may also convene extraordinarily when the board of directors requires it or if at least one of the members of the board of trustees makes a written request from the board of directors. In the Board of Trustees meetings, the first item on the agenda is the election of a council consisting of a chairman, a vice chairman and two clerk members. This council conducts the meeting. Issues that are not included in the agenda announced in ordinary and extraordinary meetings cannot be discussed. However, after the formation of the council in the ordinary meeting, with the written proposal of at least one tenth of those present; It is possible to add it to the agenda, except for issues that will impose obligations and responsibilities on the foundation, such as deed changes.
The meeting date, place, time and agenda are notified by registered letter to reach the members at least 7 (seven) days before the meeting day.
The Board of Trustees convenes with one more than half of the total number of members. If the majority is not achieved, the meeting is held one week later, on the same day and time, at the same place. In this second meeting, the meeting quorum cannot be less than one third (1/3) of the total number of members.
The decision quorum of the board of trustees is one more than half of the attendees. If the votes are equal, the vote of the chairman of the council counts as two votes. The method of voting is also decided.
Each member has one vote. A member who cannot attend the meeting may appoint another member of the board of trustees as proxy. More than one power of attorney cannot be collected by a single person.
The quorum for changes, corrections or additions to the foundation deed is two-thirds of the total number of members.
Article 10) BOARD OF DIRECTORS
10.1. The Foundation Board of Directors consists of 9 (nine) principal and 9 (nine) substitute members to be elected by the board of trustees for a two-year term. The first three members of the first board of directors written in the Provisional Article 1 of the foundation deed are the permanent members of the board of directors of the foundation. The majority of the members of the Board of Directors must be members of the board of trustees. It is possible to elect persons from outside the foundation, provided that they do not constitute a majority. At the first meeting of the board of directors, the chairman, the vice chairman, the secretary member and the accountant member are elected and the division of duties is made.
Before the expiry of his term of office, one of the alternate members is called for duty in the place of the member whose membership of the board of directors is terminated for any reason.
The board of directors meets at least once a month. A member of the board of directors who does not attend the meeting (3) consecutively without a valid excuse is deemed to have withdrawn from this duty.
The meeting quorum is (5) and the decisions are taken by the majority of the present. In case of equality of votes, the vote of the chairman counts as two votes. The decisions taken are written in the notarized decision book and signed.
10.2. DUTIES, AUTHORITIES AND RESPONSIBILITIES OF THE BOARD OF DIRECTORS:
The board of directors is the administrative and executive body of the foundation.
In this capacity, the board of directors:
a) The Foundation takes and implements all kinds of decisions in line with its purpose.
b) It ensures that the activities of the foundation are carried out regularly and efficiently in the light of the general policies determined by the Board of Trustees. In this context, it prepares the necessary domestic legislation drafts and submits them to the approval of the board of trustees.
c) Carries out the necessary work for the transfer of the foundation’s assets and the acquisition of new financial resources.
d) On behalf of the foundation’s legal entity, it takes necessary initiatives and makes transactions with all real and legal persons in legal, financial and other matters.
e) Provided that their duties, powers and responsibilities are clearly determined in advance, they appoint a director to the foundation, the foundation general secretariat or similar auxiliary units may be formed, and they terminate their duties when necessary.
f) It determines the personnel to be employed in the Foundation, makes the appointment, determines their wages, and terminates their employment when necessary.
g) Decides to open and close branches and representative offices at home and abroad within the framework of the provisions of the relevant legislation, and takes the necessary actions in this regard.
h) It monitors and controls the accounting transactions of the foundation, arranges the income-expense statement and balance sheets at the end of the accounting period, and ensures that they are sent to the relevant administration and announced.
i) Applies the annual budget accepted by the board of trustees.
j) Prepares the agenda for the Board of Trustees meetings and carries out the preparatory procedures.
k) At the board of trustees meetings, the foundation presents the activity report of the period for release.
l) Makes proposals to the board of trustees for persons who have provided important services to the Foundation.
m) Performs other duties required by the relevant legislation, foundation deed and foundation internal legislation.
Article 11 ) REPRESENTATION OF THE FOUNDATION
The board of directors represents the foundation. The board of directors may delegate this power of representation to the chairman and vice chairman of the board of directors. The board of directors is authorized to conclude any contract, to issue and transfer contracts, legal documents or deeds on behalf of the foundation, one or more of its members, one or more of its authorized officers and officers, their representatives or representations, within the principles to be determined in general or in certain situations and issues. can be made.
Article 12 ) SUPERVISORY BOARD
The supervisory board is a body established to audit the activities and accounts of the foundation on behalf of the board of trustees. The supervisory board consists of (3) people to be elected by the board of trustees from within itself and from outside, not to form a majority, for two years. In addition, (3) alternate members are elected. A substitute member who leaves for any reason is called for duty.
The supervisory board conducts its examinations on all books, records and documents. The report to be prepared as of the accounting period is submitted to the board of directors to be sent to the board of trustees at least (15) days before the board of trustees meeting.
Article 13) REAL ESTATE SAVINGS, PURCHASES, PLEDGES AND BORROWING
The following actions are subject to the decision of the board of directors:
a) Purchasing and renting real estate for the foundation to carry out its activities
b) Carrying out all kinds of transactions for the efficient operation of the foundation’s assets.
c) Assignment of immovable properties purchased by the foundation or acquired through donations and bequests, exchange of other economic assets, pledge and establishment of other same rights on them, provided that the permission of the General Directorate of Foundations is obtained at its disposal.
d) Purchase of stock and bonds and, when necessary, pledge or sale
e) Borrowing in a way that does not endanger the assets of the foundation
f) Establishing and participating in businesses and companies with money deposits and assets included in the foundation in order to increase the incomes that the foundation will spend for its purpose.
Article 14) RIGHT TO PEACE
The board of trustees determines whether and how much attendance fee or remuneration will be paid to the members of the board of directors and auditors.
Article 15) CHANGE OF OFFICIAL DOCUMENT
Changes to be made in the foundation deed are made with the written proposal of at least one-fifth (1/5) of the board of directors or the members of the board of trustees, and the approval of at least two-thirds (2/3) of the total number of members of the board of trustees.
Article 16) TERMINATION OF THE FOUNDATION
In case the foundation is terminated for any reason, the assets of the foundation are transferred to another foundation closest to its subject.
The dissolution of the foundation is possible only with the notorious proposal of the board of directors or at least one more than half of the total number of members of the board of trustees and the approval of two-thirds (2/3) of the total number of members of the board of trustees.
Article 17) REFERENCE OF FOUNDATION BOND
Any commentary written in this foundation deed belongs to the Board of Directors of the Foundation and its decision is final.
